These Terms and Conditions (“Terms“) along with our Privacy Policy form a legally binding agreement between Equitalist (“we”, “us”, “our”, “Company”, or “Platform”) and you (“User”, “You”, “Your”, or “Subscriber”). By subscribing to our services, accessing our website or using any of our services, you agree to be bound by these Terms. If you do not agree, please do not subscribe or use our services. We reserve the right to modify or update these Terms at any time. We encourage you to review these Terms periodically for any changes.
1. Definitions and Interpretation
In these Terms, unless the context otherwise requires:
• “Company”, “We”, “Us”, “Our”, “Ours” refers to Equitalist.
• “You”, “Your”, “User”, “Subscriber” refers to any person who accesses our website, subscribes to our services.
• “Services” means the equity research reports, stock analysis, market insights, newsletters and any related content delivered via website or any other medium during the subscription period.
• “Subscription” means the contractual period, chosen by Subscriber, paid for the access to our Services as chosen by you.
• “Website” means our website located at Equitalist and any associated subdomains.
• “Content” means all research reports, analysis, charts, data, text, graphics, logos, and other materials provided by us.
2. Eligibility
To subscribe to our Services, You must be at least 18 years of age, or the age of majority in your jurisdiction, whichever is higher, where you can be held legally accountable for any violations of the rules (I.e. Terms and Privacy Policies of Ours).
Our Services are intended for persons residing in India. If you access our Services from outside India, you are responsible for complying with your local laws. We do not represent that our Services are appropriate or available for use in other jurisdictions.
If you are subscribing on behalf of a company or other entity, you represent that you have the authority to bind such entity to these Terms.
3. Account Registration and Responsibilities
To access our Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information promptly if it changes.
You are solely responsible for maintaining the confidentiality of your account password and login credentials. You are fully responsible for all activities that occur under your account. You agree to notify us immediately at admin@equitalist.com if you suspect any unauthorized use of your account.
We reserve the right to refuse service, terminate accounts, remove or edit content or cancel your subscriptions at our sole discretion, without notice, for any reason including violation of these Terms.
4. Contractual Period (Subscription Term)
For the purpose of these Terms, the “Contractual Period” or “Subscription Term” means the duration for which you have paid to receive our Services.
At the time of purchasing our Services, you choose a period. During this period, you will have full access to our research reports, stock analysis, market updates and any other services specifically included in your chosen plan.
We reserve the right to offer different Contractual Periods from time to time, including but not limited to monthly, quarterly, annual or multi-year subscriptions. The exact duration of your subscription will be clearly disclosed to you on our pricing page, payment checkout screen and your order confirmation email. In case of any conflict between these Terms and the checkout screen, the checkout screen shall prevail for that specific transaction.
Your subscription begins on the date we send you the payment confirmation email and ends at 11:59 PM Indian Standard Time (IST) on the last day of the Contractual Period. No partial period refunds shall be provided if you cancel mid-term.
At the end of your Contractual Period, your access to our services will automatically cease unless you renew for another term. We do not auto-renew your subscription unless you have explicitly opted into our auto-renewal feature at the time of purchase or through your account settings. The renewal shall be for the same duration as purchased earlier.
If we introduce new Contractual Period options in the future (for example, a monthly plan or a 3-year plan), existing subscribers on a 1-year plan will not be automatically migrated. You may choose to switch to a different Contractual Period only at the time of your next renewal, subject to the then‑applicable pricing and terms.

5. Subscription and Payments
Our Services are offered on a contractual period subscription basis. The subscription fee is as displayed on our website at the time of your purchase.
All payments are processed through our third-party payment gateway partners (such as Razorpay, Stripe or others).
Payment Terms:
• Subscription fees are payable in advance for the contractual period.
• Subscription fees are non-refundable except where required by applicable law or where we expressly agree otherwise at our sole discretion.
• We reserve the right to change subscription fees for future renewals.
• Taxes such as GST will be added to the subscription fee as applicable under Indian tax laws.
Auto-Renewal and Cancellation:
Your subscription will not auto-renew unless you explicitly opt-in for auto-renewal. If you opt for auto-renewal, we will charge the then-current subscription fee to your saved payment method. You may cancel auto-renewal at any time from your account settings or by contacting us. No refunds will be given for any unused portion of an already paid subscription period.
If you choose not to auto-renew, your subscription will expire at the end of the Subscription Term and you will lose access to all reports and member-only content.
6. No Investment Advice – Important Disclaimer
We are not registered as a Research Analyst or Investment Adviser under the Securities and Exchange Board of India (SEBI) Act, 1992 or the SEBI (Research Analysts) Regulations, 2014.
All content, reports, analysis and stock views provided by us are for educational and informational purposes only. They do not constitute investment advice, trading advice, brokerage recommendations or any offer to buy or sell securities.
You are solely responsible for your own investment decisions. You should conduct your own research, consult with a qualified SEBI-registered investment adviser and understand all risks before making any investment. Past performance of any stock or market trend does not guarantee future results.
We do not have access to your demat account, trading account or personal financial situation. Any action you take based on our research is at your own risk. We shall not be liable for any losses or damages arising from your investment decisions.
7. License to Use Our Content
Upon successful payment, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our research reports and Content solely for your personal, non-commercial use.
You may not:
• Share, distribute, resell, sublicense or transfer any report or Content to any third party (including friends, colleagues, social media or public forums etc).
• Copy, modify, reproduce, republish or create derivative works from our content without our prior written permission.
• Use our content for any commercial purpose, including providing investment advice to others or managing third-party funds.
• Share your account login credentials with anyone else.
• Upload our reports to any shared drive, cloud storage accessible by others, or any file-sharing platform.
Any unauthorized use of our Content shall automatically terminate your license and your subscription without refund and we reserve the right to pursue legal action for copyright infringement.
8. Intellectual Property Rights
All Content on our website and in our reports – including but not limited to text, graphics, logos, charts, data compilations, analysis and software – is the exclusive property of Equitalist or our content licensors and is protected by Indian copyright laws, trademark laws and international treaties.
Our company name, logo and all related trademarks are our exclusive property. You may not use them without our prior written consent.
You retain ownership of any personal information you provide to us. However, you grant us a perpetual, royalty-free license to use aggregated, anonymized data derived from your usage patterns to improve our research and services.
Copyright Infringement: If you believe that any Content on our website or in our reports infringes your copyright, please send a written notice to our Grievance Officer at admin@equitalist.com with the following: (a) your electronic or physical signature, (b) identification of the copyrighted work claimed to have been infringed, (c) description of where the infringing material is located, (d) your contact information, (e) a statement of good faith belief that the use is not authorized and (f) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act.
9. User Conduct and Prohibited Activities
You agree to use our Services only for lawful purposes. You shall not:
• Use our Services in any way that violates any applicable Indian law or regulation (including SEBI regulations, Income Tax Act, or IT Act).
• Attempt to reverse engineer, decompile, or extract the source code of our website or any software used to deliver our reports.
• Use any robot, spider, scraper or other automated means to access our content or collect user data without our permission.
• Introduce any viruses, trojans, worms, logic bombs or other malicious material into our website or systems.
• Attempt to gain unauthorized access to our servers, databases or other users’ accounts.
• Use our reports or analysis to provide competing services or to create a competing product.
• Harass, abuse, defame, threaten or otherwise violate the legal rights of others through any communication with us or on our website (if we have any community features).
• Impersonate any person or entity or falsely state your affiliation with any person or entity.
Violation of these rules may result in immediate termination of your subscription without refund and may subject you to civil or criminal liability.
10. Stock/Market Quotes – Delay Disclaimer
Any stock quotes, index values or market data displayed in our reports or on our website are for informational and contextual purposes only. Such data may be delayed and should not be used for real-time trading decisions.
You acknowledge and agree that we are not responsible for any losses or damages arising from your reliance on delayed or inaccurate quotes. You should always verify real-time prices with your broker or exchange directly before making any trade.
11. Third-Party Links and Tools
Our reports or website may contain links to third-party websites (such as exchanges, regulatory bodies or news sources etc) or use third-party tools (such as charting software). These links and tools are provided for your convenience only.
We do not control, endorse or assume any responsibility for the content, privacy policies or practices of any third-party websites. You access them at your own risk. We recommend that you read the terms and privacy policies of any third-party site you visit.
12. Disclaimer of Warranties
Your use of our Services is at your sole risk. Our Services are provided on an “AS IS” and “AS AVAILABLE” basis.
To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express or implied, including but not limited to:
• Implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
• Any warranty that our Services will be uninterrupted, timely, secure, error-free or free from viruses or other harmful components.
• Any warranty regarding the accuracy, reliability, completeness or timeliness of our research reports, stock analysis or any data provided.
We do not guarantee that any stock research or market view will result in profit or avoid loss. Equity investments are subject to market risks. Past performance does not indicate future results.
No advice or information, whether oral or written, obtained by you from us shall create any warranty not expressly stated in these Terms.
13. Indemnification
You agree to indemnify, defend and hold harmless Equitalist, its directors, employees and affiliates from and against any and all claims, liabilities, damages, losses, costs or expenses (including reasonable attorneys’ fees) arising out of or relating to:
• Your use of our Services in violation of these Terms.
• Your violation of any applicable law or regulation (including SEBI or tax laws).
• Your unauthorized sharing or distribution of our Content.
• Any dispute between you and any third party arising from your investment decisions.
14. Termination and Suspension
By You: You may cancel your subscription at any time from your account settings or by emailing us. No refunds will be provided for the remaining period of your Contractual Period subscription.
By Us: We may suspend or terminate your access to our Services immediately, without notice or refund, if:
• You breach any provision of these Terms.
• You share your account credentials or our reports with unauthorized persons.
• You fail to pay subscription fees when due.
• We believe your conduct poses a risk to our systems or other users.
• We are required to do so by law or regulatory authority.
Upon termination for any reason: (a) your license to use our Content immediately ends, (b) we may delete your account and associated data as described in our Privacy Policy, subject to legal retention requirements (e.g., GST records for 6 years).
15. Data Protection and Privacy
Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in the Privacy Policy, including the transfer of your data within India or to service providers located outside India (where permitted by law).
We comply with the Digital Personal Data Protection Act, 2023 (DPDP Act) and the Information Technology Act, 2000 to the extent applicable.

17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India.
Dispute Resolution Process:
1. Negotiation: If any dispute arises, you agree to first contact us at admin@equitalist.com to attempt an amicable resolution within 30 days.
2. Arbitration: If the dispute cannot be resolved through negotiation, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by both parties. If the parties cannot agree on an arbitrator within 15 days, either party may request the appointing authority (e.g., the Chief Justice of the relevant High Court or a designated arbitral institution) to appoint one. The arbitration proceedings shall be held in Dakshin Dinajpur, West Bengal, and the language of arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties.
3. Jurisdiction for Interim Relief: Notwithstanding the arbitration clause, either party may approach the courts of Dakshin Dinajpur for interim or temporary relief (such as injunctions to prevent sharing of our proprietary reports). The courts in Dakshin Dinajpur, West Bengal shall have exclusive jurisdiction for such interim matters.
Class Action Waiver: Any disputes arising out of these Terms shall be resolved individually and you agree not to bring or participate in any class action, consolidated action or representative action against us.
18. Force Majeure
We shall not be liable for any delay or failure to perform our obligations under these Terms if such delay or failure is caused by events beyond our reasonable control, including but not limited to: acts of God, war, civil unrest, terrorism, natural disasters, pandemics, government orders, internet outages, cyberattacks or failure of third-party service providers (such as email delivery platforms or payment gateways).
We will notify you as soon as reasonably possible if such an event occurs and will use reasonable efforts to resume performance.
19. Miscellaneous Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of our Services and supersede all prior agreements, understandings, or representations (whether written or oral).
Severability: If any provision of these Terms is found to be invalid, illegal or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, shall be severed and the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision in the future.
Assignment: You may not assign or transfer these Terms or your subscription to any other person without our prior written consent. We may assign these Terms to any affiliate or successor in connection with a merger, acquisition, or sale of all or substantially all of our assets, with notice to you.
Notices: All notices required under these Terms shall be sent: (a) to you by email to the address you provided during registration, or (b) to us by email to admin@equitalist.com. Notices are deemed received 24 hours after the email is sent.
Survival: Sections relating to Intellectual Property, No Investment Advice, Disclaimer of Warranties, Indemnification, Governing Law and Dispute Resolution shall survive any termination of these Terms.
20. Changes to These Terms
We reserve the right to modify or update these Terms at any time. If we make material changes, we will notify you by email (to your registered email address) or by posting a prominent notice on our website at least 15 days before the changes take effect.
Your continued use of our Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cancel your subscription before the effective date.
